Terms of Service

Please read these Terms of Service carefully before using Link's platform and services. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the services provided by Link Management Systems, Inc. ("Link," "we," "us," or "our"), including our website, mobile applications, and real estate technology platform tools (collectively, the "Services"). Mortgage origination and escrow services are not part of the Services. They are provided only by separately licensed affiliated companies, as described in Section 2. By creating an account or using the Services, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them.

2. Description of Services

Link provides a real estate technology platform for real estate agents, brokers, buyers, and sellers. Our Services include:

• Real estate transaction management and coordination tools
• Property search, valuation, and market analysis tools
• Marketing and content creation tools, including AI-assisted content generation
• Client relationship management (CRM) features
• Document management and e-signature integration
• Agent and brokerage management tools

The Services are available to licensed real estate professionals regardless of brokerage affiliation. Use of the Services does not create any real estate brokerage relationship with Link or any affiliated company.

2.1 Regulated Services Provided by Licensed Affiliates

Certain regulated services are available through companies affiliated with Link through common ownership. Each affiliate is separately licensed and provides its services under its own name, its own agreements, and its own legally required disclosures:

• Mortgage origination services are provided by First Link Mortgage, NMLS #2527988.
• Escrow and settlement services are provided by Linked Escrow, licensed by the California Department of Financial Protection and Innovation (License No. 96DBO-189708).

Link Management Systems, Inc. is not a licensed real estate broker, mortgage lender, loan originator, or escrow agent. You are not required to use any affiliated company's services as a condition of using the Services or of any real estate transaction. 3. Account Registration

To use certain features of the Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities occurring under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to refuse service, terminate accounts, or remove content at our discretion.

4. Professional Licensing

Real estate agents and brokers using our Services represent and warrant that they hold all required licenses in their jurisdiction(s) of practice and will maintain such licenses in good standing. You agree to comply with all applicable state and federal real estate laws, regulations, and MLS rules. Link does not provide legal advice and nothing in the Services constitutes legal advice.

5. Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of others
• Transmit any harmful, offensive, or disruptive content
• Attempt to gain unauthorized access to any part of the Services
• Use automated systems to scrape, crawl, or extract data without permission
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services to send unsolicited communications
• Send text messages or make calls through or in connection with the Services without the prior express consent of the recipient required by the Telephone Consumer Protection Act and applicable state law
• Misrepresent your identity or affiliation

6. User Content

You retain ownership of content you submit to the Services ("User Content"). By submitting User Content, you grant Link a non-exclusive, worldwide, royalty-free license to use, copy, modify, and display such content solely to provide and improve the Services. You represent that you have all rights necessary to grant this license and that your User Content does not violate any third-party rights.

7. Intellectual Property

The Services and all related content, features, and functionality (including software, text, graphics, logos, icons, and images) are owned by Link or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from our intellectual property without our express written permission.

8. Copyright Infringement (DMCA)

We respect the intellectual property rights of others and respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act. If you believe that content available through the Services infringes your copyright, please send a written notice containing the information required by 17 U.S.C. § 512(c)(3) to our Designated Copyright Agent:

We may remove or disable access to allegedly infringing content and may terminate the accounts of repeat infringers.

9. Mortgage Services

Mortgage origination services are not provided by Link Management Systems, Inc. They are provided by First Link Mortgage, NMLS #2527988, a licensed mortgage company affiliated with Link through common ownership. Mortgage services require a separate application and are governed by First Link Mortgage's own agreements, terms, and disclosures and by applicable federal and state law, including the Truth in Lending Act (TILA), the Real Estate Settlement Procedures Act (RESPA), the Equal Credit Opportunity Act (ECOA), the Fair Credit Reporting Act (FCRA), and state mortgage regulations. Any authorization to obtain credit reports or to verify employment or income will be requested by First Link Mortgage as part of its application process, not through these Terms. You may verify First Link Mortgage's license status at www.nmlsconsumeraccess.org.

10. Escrow Services

Escrow and settlement services are not provided by Link Management Systems, Inc. They are provided by Linked Escrow, an escrow agent licensed by the California Department of Financial Protection and Innovation (License No. 96DBO-189708) and affiliated with Link through common ownership. Escrow services are governed by separate escrow instructions between the parties to the transaction and the escrow holder and by applicable state escrow law. Link Management Systems, Inc. is not a party to any escrow instructions and does not hold, control, or disburse escrow funds.

11. AI-Generated Content

The Services include features that use artificial intelligence to generate or assist in generating content, including marketing materials, property descriptions, social media posts, and client communications ("AI-Generated Content"). AI-Generated Content is provided as a drafting aid only. It may contain errors or omissions or produce statements that are inaccurate or inconsistent with applicable law. You are solely responsible for reviewing, editing, and approving all AI-Generated Content before use or publication, and for ensuring that any content you use complies with all applicable laws, regulations, and rules, including federal, state, and local fair housing and anti-discrimination laws, state real estate license and advertising regulations, MLS rules, the REALTOR® Code of Ethics where applicable, and the policies of your brokerage. Link does not review AI-Generated Content for legal compliance and does not warrant that any AI-Generated Content complies with any law, regulation, or rule. You must not use AI-Generated Content that expresses, implies, or could reasonably be understood to express a preference, limitation, or discrimination based on race, color, religion, sex (including sexual orientation and gender identity), disability, familial status, national origin, or any other characteristic protected by applicable law.

12. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Third-Party Services

The Services may integrate with or link to third-party services, including MLS systems, title companies, lenders, and other real estate service providers. We are not responsible for the content, privacy practices, or terms of third-party services. Your use of third-party services is governed by their respective terms.

14. Disclaimers

Property valuations, market analyses, and other data provided through the Services are estimates based on available data and are not appraisals or guarantees of value. You should not rely solely on such estimates for financial decisions.

You agree to indemnify and hold harmless Link, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your User Content, or your violation of these Terms.

17. Termination

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, indemnification, and limitation of liability.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California without regard to conflict of law principles. Any dispute arising from these Terms or the Services shall be resolved through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that (a) either party may bring an individual claim in small claims court, and (b) either party may seek injunctive relief in court for infringement or misuse of intellectual property. You and Link each waive the right to a jury trial and the right to participate in a class action or class-wide arbitration. Nothing in this Section waives any right to seek public injunctive relief that cannot be waived under applicable law, including California law. You may opt out of this arbitration provision by sending written notice of your decision to opt out to privacy@link.ai within 30 days of first accepting these Terms; opting out does not affect any other provision of these Terms.

19. Equal Housing Opportunity

Link and its affiliated companies are committed to the principles of the federal Fair Housing Act and the Equal Credit Opportunity Act. We do not discriminate based on race, color, religion, sex (including sexual orientation and gender identity), disability, familial status, national origin, or any other characteristic protected by applicable law.

20. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting updated Terms on our website and, where appropriate, notifying you via email. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

21. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
